These terms govern access to and use of Stactiq for institutional football methodology customers. If you are accepting these terms on behalf of a club, academy, or federation, you represent that you have authority to bind that organization.
Overview
These Terms of Use govern access to and use of the Stactiq platform, website, and associated services ("Services") operated by Stactiq Inc. ("Stactiq," "we," "us"). By accessing or using the Services, you agree to be bound by these terms.
A separate Order Form or Evaluation Agreement governs paid access and institutional deployments. These Terms apply to all visitors and users of the Stactiq website and private beta participants unless superseded by an executed agreement.
1. Definitions
"Customer Data" means methodology documents, game model content, session plans, and other materials submitted to the platform by your organization.
"Services" means the Stactiq platform, including Methodology DNA, Session Engine, Set Piece Studio, Match Reconstructor, Mission Control, and all associated features.
"Authorized Users" means coaches, technical staff, and administrators granted access to the Services under your organization's account.
"Credits" means the prepaid usage units allocated per subscription plan that are consumed when generating sessions, set pieces, and diagnostic outputs through the platform. See the Billing policy for full details.
2. Use of the Services
You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:
- Access or use the Services to develop a competing product or service.
- Attempt unauthorized access to any part of the platform or its systems.
- Use automated means to scrape, extract, or overload platform systems.
- Reverse engineer, decompile, or attempt to extract the source code of any part of the Services.
- Share credentials or access with individuals not designated as Authorized Users under your account.
3. Customer Data and Methodology Ownership
Your organization retains full ownership of all Customer Data submitted to the platform, including your game model, coaching principles, tactical frameworks, and session content.
Stactiq does not use your Customer Data to train models shared with other organizations. Your Methodology DNA is isolated to your organizational account.
Stactiq may use aggregated, anonymized usage data (not Customer Data) to improve platform performance and product development. No individual club's methodology is accessible to other organizations.
4. Intellectual Property
The Stactiq platform, including its software, interface, design, Golden Thread architecture, Hallucination Firewall, 100×100 Tactical Grid, and all underlying technology, is the intellectual property of Stactiq Inc. and protected by applicable copyright, trademark, and trade secret laws.
Nothing in these Terms transfers any intellectual property rights in the platform to you. Your license to use the Services is limited, non-exclusive, non-transferable, and revocable.
5. Private Beta
Access to the private beta is by invitation following an organizational fit review and methodology intake. Beta access is subject to capacity and is not guaranteed.
Features, pricing, and terms applicable to beta participation may differ from those of generally available plans and will be specified in a separate evaluation agreement or order. Stactiq reserves the right to modify or discontinue beta access with reasonable notice.
6. Credits and Usage
Credits are prepaid usage units allocated per plan. Credits are consumed when generating sessions, set pieces, and diagnostic outputs. Credit consumption varies by output complexity.
Unused credits within a billing period may roll over according to your plan terms. Credits are non-refundable except as expressly stated in your order. Additional credits may be purchased or unlocked through plan upgrades.
7. Confidentiality
Both parties agree to maintain the confidentiality of non-public information received from the other party in connection with the Services. Stactiq will not disclose your organization's game model or methodology content to any third party except as required by applicable law or as authorized by your organization in writing.
8. Disclaimer of Warranties
The Services are provided "as is" and "as available." Stactiq makes no warranties, express or implied, regarding the Services, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement, except as expressly stated in an executed agreement with your organization.
9. Limitation of Liability
To the maximum extent permitted by applicable law, Stactiq's total liability to you for any claim arising from or related to the Services shall not exceed the amounts paid by your organization in the twelve months preceding the claim. Stactiq shall not be liable for indirect, incidental, or consequential damages.
10. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts of Delaware.
11. Changes to These Terms
Stactiq may update these Terms at any time. Material changes will be communicated via email or platform notification at least 14 days before taking effect. Continued use of the Services after the effective date constitutes acceptance of the updated terms.
